Terms of Service

1. Acceptance of Terms

By accessing and using OrgoMedia AI (“the Software”), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree, you must not use the Software.

2. License Grant

Subject to the terms of this Agreement, Skail Consulting LLC grants you a limited, non-exclusive, non-transferable license to use the Software for personal or commercial purposes.

3. Use of the Software

You agree to use the Software only for lawful purposes and in accordance with these Terms. You are responsible for:

• Maintaining the confidentiality of any API keys or credentials you configure within the Software
• Ensuring you have the legal right to rename, move, and organize any media files you process with the Software
• Complying with the terms of any third-party services you connect to through the Software

4. Subscriptions and Billing

The Software offers optional subscription plans and one-time credit purchases through the Apple App Store. All billing, payment processing, and subscription management (including auto-renewal and cancellation) are handled exclusively by Apple in accordance with Apple’s terms and conditions. Prices may vary by region and are subject to change. You can manage or cancel your subscription at any time through your Apple ID settings. Skail Consulting LLC does not process or store any payment information.

5. Acceptable Use of AI Services

The Software provides AI-powered file classification and identification services subject to per-subscription usage quotas. You agree not to:

• Attempt to circumvent, manipulate, or abuse rename quotas or usage limits
• Use automated tools, scripts, or bots to interact with the Software’s AI services
• Reverse-engineer, replicate, or extract the AI classification models or prompts
• Share accounts or subscription credentials with others outside your household plan
• Excessively or abusively call the AI services in a manner that degrades service for other users

Violation of these terms may result in temporary or permanent suspension of your access to AI services.

6. Proprietary Services

The Software uses proprietary AI and data services hosted on our secure servers to provide media identification and organization. These services are provided as-is and may be updated, modified, or discontinued at our discretion.

7. Intellectual Property

The Software and its original content, features, and functionality are owned by Skail Consulting LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8. Third-Party Services

The Software integrates with the following third-party services. Your use of each is subject to their respective terms and conditions:

• The Movie Database (TMDB) — media metadata and search
• OpenAI — AI-powered file classification (accessed via our proxy server; you do not interact with OpenAI directly)
• Trakt — watchlist synchronization (requires your Trakt account)
• MDBList — list synchronization (requires your API key)
• Plex Media Server — library integration and duplicate detection (requires your Plex account)
• Radarr / Sonarr — movie and series management (requires your server configuration)
• Prowlarr — indexer management (requires your server configuration)
• qBittorrent — file transfer client status (requires your server configuration)

You are solely responsible for your use of these services and for complying with their terms.

9. iCloud and Household Features

The Software uses Apple iCloud (CloudKit) to synchronize data across your devices and household members, including watchlist items, rename history, pipeline events, app settings, and household member profiles. By using these features, you consent to data being stored in your private iCloud container. Apple’s iCloud terms and privacy policies apply to this data.

The household feature allows you to invite other users to share a watchlist. You are responsible for managing your household invitations.

10. Data Processing

The Software processes your media files locally on your device. File names (not file contents) and metadata may be sent to our proprietary services and third-party services for identification purposes. By using the Software, you consent to this processing.

11. File Modifications and Automation

The Software renames, moves, and organizes your media files. It can also automatically monitor folders for new files and process them without manual intervention. While we take reasonable precautions to ensure data integrity:

• You are solely responsible for maintaining backups of your files
• Skail Consulting LLC is not liable for any data loss, incorrect renames, or unintended file modifications
• Deleted files are moved to your system Trash, not permanently deleted

12. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

13. Limitation of Liability

IN NO EVENT SHALL SKAIL CONSULTING LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, INCLUDING BUT NOT LIMITED TO DAMAGES ARISING FROM FILE LOSS, INCORRECT FILE OPERATIONS, OR SERVICE INTERRUPTIONS.

14. Updates and Modifications

We reserve the right to modify or discontinue the Software at any time without prior notice. We may also update these Terms from time to time. Continued use of the Software after changes constitutes acceptance of the revised Terms.

15. Termination

This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any term of this Agreement.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of Washington.
